IT Travel LP (registration number: UK, SL24264, 9a Tinto Place, EH6 5GD, Edinburgh, UK) provides online service Kiwitaxi designed to search and book transfers.

By placing this offer, IT Travel LP shall provide webmasters with an opportunity to participate in an affiliate program aimed to attract clients to the Kiwitaxi service.

IT Travel LP shall be hereinafter referred to as the "We", "Service" or "Kiwitaxi".

Webmasters shall be hereinafter referred to as the "Executor", "Partner" or "You".

By accepting the terms and conditions of this offer, You shall fully and irrevocably accept all its terms and conditions and shall guarantee that You are over 18 years old.

We are entitled to recall this offer at any time before its acceptance.

In order to accept the terms and conditions of this offer and to conclude an affiliate program participation (offer) agreement, You will need:

• to register by completing all the fields of the registration form;
• to accept the conditions of the Privacy policy;
• to fully and irrevocably accept the terms and conditions of this offer.

We shall reserve our right to refuse the webmaster cooperation with no reason given.

Kiwitaxi Service shall mean kiwitaxi.com website, other applications, information systems and Kiwitaxi channels allowing a client to book a transfer, to obtain information and receive order support, to leave feedback.

Webmaster, Executor, Partner shall mean a person who places advertising materials on their platforms and provides other services for attracting clients to the Kiwitaxi service.

Link to the booking system (BS) shall mean a link or a booking module provided by the Partner and allowing the clients to go to the page of the Kiwitaxi booking system.

Attracted client, Client shall mean a person who clicked through the link leading to the page of the booking system, placed by the Executor.

1.1. The webmaster shall publish advertising materials of Kiwitaxi affiliate program on their platforms.

The advertising means must enable a user to go to the website of the booking system and become a client of Kiwitaxi.

1.2. The webmaster shall be entitled to receive remuneration (commission) if all the conditions below are fulfilled:

• the client clicked through the link or other advertising means placed by the webmaster and was forwarded to the Kiwitaxi website;
• the client placed an order in the booking system within at least 30 calendar days after clicking through the link;
• the client fully paid the order;
• the client used the transfer.

In case the client canceled the order and/or for any other reason did not use the transfer, the webmaster shall lose their right to receive the remuneration.

1.3. One webmaster shall be entitled to have only one account.

2.1. The webmaster may through their personal account obtain ready materials and instructions thereto as well as information on their statistical data, on orders of the clients attracted and the amount of the commission accrued.

2.13. Use of Promo Codes
Please note: orders completed using promo codes distributed by Kiwitaxi as part of its own marketing activities are not tracked in the affiliate system and do not qualify for affiliate commission.
Such promo codes include, but are not limited to, those:

• published on Kiwitaxi’s official websites;
• sent via Kiwitaxi’s official email newsletters;
• used in Kiwitaxi’s paid advertising (e.g. contextual, banner ads);
• posted on Kiwitaxi’s official social media pages;
• assigned to influencers, bloggers, or other partners who collaborate with Kiwitaxi under special agreements.

If a customer clicks on an affiliate link but enters one of the above-mentioned promo codes when placing an order, no commission will be credited to the affiliate. In such cases, the order is attributed either to Kiwitaxi's own marketing activity or to the influencer or partner to whom the promo code is assigned.
Promo codes take precedence over affiliate links only in the following two cases:

1. When a promo code is part of Kiwitaxi’s official marketing campaigns;
2. When a promo code belongs to an influencer or another partner who has an individual agreement with Kiwitaxi.

In all other cases, order attribution is based on the last valid affiliate click-through.
If you wish to use a promo code in your promotional activities, you may request a personal promo code from your affiliate manager. The use of such codes is permitted only after prior written approval from Kiwitaxi.

2.2. Upon request of Kiwitaxi, the webmaster shall be obliged to provide the traffic source data and access to the statistics of their advertising platform within 5 calendar days. In case of failure to receive the requested information, Kiwitaxi shall be entitled to block the webmaster's access to the affiliate program as well as to suspend the payout of commission.

2.3. When fulfilling obligations hereunder, the webmaster shall undertake to observe the following rules of traffic channels acceptability:

2.4. The webmaster shall undertake to refrain from using negative keywords for adjusting search engine advertising that are forbidden to use for targeting in any kind (Kiwitaxi brand bidding). 2.5. When fulfilling obligations hereunder, the webmaster shall undertake to observe the following rules:

2.5.1. to refrain from using the name of Kiwitaxi, and words which sound alike:

• in Title and Description on all pages of the Partner's site;
• in text blocks on the main page.

2.5.2. to refrain from using the images (including favicon) from the kiwitaxi.com website (excluding frame images).

2.6. The webmaster shall guarantee that data transferred by them to Kiwitaxi (including when completing the registration form) are complete and true. The webmaster shall be obliged to notify Kiwitaxi in writing of any changes of such previously transferred data within maximum 3 calendar days after such changes. Changing the respective data in the personal account shall be considered as written notification.

2.7. Kiwitaxi shall guarantee the confidentiality of the details provided during the booking in the affiliate program and their use according to the purposes and terms specified by the Privacy policy.

2.8. The webmaster shall be individually responsible for keeping the link to the booking system in working condition and for securing an unhindered click-through for clients.

2.9. The webmaster shall undertake to meet the requirements of the applicable legislation, terms of hosting, websites, forums, and other resources of third persons.

2.10. Any and all risks related to unauthorised access to the webmaster's platform, their e-mail, personal account, and software shall be borne by the webmaster.

2.11. In case of any suspicions of violation of this offer's terms and conditions and/or in order to verify the provided data of the webmaster and/or to verify the quality of the webmaster's traffic and in other cases, Kiwitaxi shall be entitled to suspend or terminate the payout of the commission and the webmaster's participation in the affiliate program and to require from the webmaster to remove the link and/or other references to Kiwitaxi booking system from the webmaster's platform. Such a requirement to remove the link or references to Kiwitaxi shall be subject to execution within 48 hours upon receipt of such notice unless another period is specified in such notice.

2.12. Kiwitaxi shall pay the webmaster's commission only after the money is received from the client to the account of Kiwitaxi, but not before the time the client indeed used the service.

3.1. The webmaster shall be fully liable to observe the rights of third persons to the mark, trademark, brand as well as personal and other rights when placing advertising on their platform.

3.2. The webmaster shall undertake to refrain from using on their platform any content violating norms of the applicable law or leading to the pages violating such norms.

3.3. The webmaster shall undertake to refrain from using unfavourable emailing (spam) while sending advertising materials via email. The webmaster shall be fully liable to receive proper consent of each recipient in order to send the advertisements by email.

3.4. We shall be entitled to withdraw the webmaster's commission for the orders which were accomplished by using unacceptable traffic channels and/or violating other terms and conditions of this offer.

3.5. If the amount of the commission due for payment to the webmaster does not cover the amount of the calculated penalty, the outstanding amount of the penalty may be charged additionally.

3.6. Any and all losses which Kiwitaxi incurred in the result of violation of the terms and conditions of this offer by You, shall be subject to collection in addition to the penalty.

4.1. The cost of the Partner's services shall be determined as the percentage of the Kiwitaxi earnings from the accomplished orders paid by the client attracted by the Partner. The precise percentage shall be stated in the Service Level Agreement which is an integral part of this agreement or in the personal account of the Partner or in the Annexes to the agreement concluded under this offer. Unless otherwise provided in the Service Level Agreement and (or) in the personal account of the Partner or in the Annexes to the agreement concluded under this offer, the cost of the Executor's services shall amount to 50% of the Kiwitaxi's income from the accomplished orders paid by the client attracted by the Partner.

4.2. The Partner's services shall be paid until the 20^th day of the month following the reporting month provided that the Partner reached the minimum payout amount. Should the Partner fail to reach such minimum payout amount, the payout shall be put forward to the next month. The minimum payout amount shall be determined by the Service Level Agreement and (or) in the personal account of the Partner or in the Annexes to this agreement.

4.3. When changing the payment details, addresses for invoices, contact telephone numbers, fax numbers, and e-mail addresses as well as when changing the taxation scheme, the Partner shall undertake to inform Kiwitaxi thereof in writing within one day after such changes took place. The Partner shall be entitled to place the changed details in the personal account. The Partner shall be liable for the correctness of such details.

4.4. Kiwitaxi shall not be a VAT payer and has no VAT number, the Partner shall individually calculate and pay VAT from the received commission amount.

5.1. Any information received by the Partner from the Service during participation in the Kiwitaxi affiliate program shall be confidential. This is with the exception of the information:

• which became publicly known without violation of the terms and conditions hereof by the Partner;
• which was legally received by the Partner from a third party without restriction and without violation of the terms and conditions hereof and without violation of confidentiality obligations;
• which may not be referred to confidential information according to the norms of the applicable law.

5.2. Privacy policy shall be valid throughout the entire period of validity of the agreement concluded under this offer as well as within five years after the agreement's termination.

6.1. The place of contract under this offer shall be Edinburgh (UK).

6.2. The present Agreement concluded under the present offer shall come into force after its conclusion for an indefinite term.

6.3. Any of the parties shall be entitled to terminate the agreement concluded under this offer by providing the other party with a written notice within at least 30 calendar days before such termination.

6.4. Kiwitaxi shall also be entitled to terminate the agreement concluded under this offer according to the point 2.9. of this offer.
